Welcome to Naruto Ninja Cards! These Terms of Service (the “Terms” or “TOS”) govern your access to and use of the Naruto Ninja Cards platform, including our website and mobile applications (collectively, the “Platform”). The Platform is operated by Sekai (formerly Yonko SAS), and by using our services you are entering into a binding agreement with Sekai. Please read these Terms carefully, because they contain important information about your rights and obligations as well as limitations and exclusions that may apply to you.

By creating an account or otherwise accessing or using Naruto Ninja Cards, you agree to these Terms. If you do not agree, you must not use the Platform. If you have any questions about the Terms, feel free to contact us at support@narutoninjacards.com.

1. Legal Notice (Operator Information)

Naruto Ninja Cards is edited and operated by Sekai, a French simplified joint-stock company.

For the purposes of these Terms, “Sekai”, “we”, “us”, or “our” refers to the company above, and “User” or “you” refers to any person accessing or using the Platform.

2. The Naruto Ninja Cards Platform

Naruto Ninja Cards (sometimes referred to as the "Platform") is a digital experience for fans of the Naruto franchise that allows Users to collect, manage, and interact with virtual trading cards and related digital items. Key features of the Platform include:

  • Digital Card Collection: Users can obtain Cards, which are digital collectible items representing characters, artwork, or elements from the Naruto universe. Cards may have different rarities or attributes, but they are purely virtual collectibles (no monetary value outside the Platform).
  • Scrolls: Users can acquire Scrolls, which are virtual packs that can be “opened” to reveal a random selection of Cards or other in-app resources. Scrolls might be earned through gameplay or events, or purchased as an in-app purchase (see Virtual Items and Purchases below). Opening a scroll will add the revealed Cards to your collection.
  • Sub-Collections: Users have the ability to organize their Cards into Sub-Collections based on themes, character sets, or personal preference. This feature helps you manage your collection and showcase specific groups of cards.
  • Interactive Features: We plan to integrate the collected Cards into future interactive experiences (for example, mini-games or a companion app that uses the cards). While not all these features are available yet, the Platform is evolving to provide new ways to enjoy your collection.
  • Marketplace (Planned): A peer-to-peer Marketplace feature is planned for a future release. The Marketplace will enable Users to trade Cards or other resources with each other in a safe environment. (Until the Marketplace is launched and specific rules are provided, Users are not allowed to buy/sell/trade cards for real money or outside the Platform, as doing so would violate these Terms.)

Sekai continuously updates the Platform’s features to improve the user experience. New features may be added, and some features may change or be removed over time. We will endeavor to inform Users of major changes (see Modifications to Terms and Services below).

3. Eligibility and Account Registration

To use Naruto Ninja Cards beyond browsing any public pages, you need to create an account. By creating an account, you represent and warrant that you meet the following eligibility criteria:

  • Age Requirements: You must be at least 13 years old to register and use the Platform. If you are under the age of majority in your country (which is 18 in many jurisdictions, or lower in some (e.g., 16 or 15 in certain EU countries for digital consent)), you must have the permission and supervision of your parent or legal guardian to use Naruto Ninja Cards. Sekai does not knowingly allow children under 13 to create accounts, and Users between 13 and the age of majority should have a parent/guardian review and agree to these Terms on their behalf. By creating an account, you affirm that you are either (a) 18 or older, or (b) 13 or older and have your parent’s or guardian’s consent to use the Platform.
  • Legal Capacity: You are not barred from using the Platform under any applicable law. This means you are not a person who is prohibited from using digital services or entering into contracts (for example, you are not on any trade sanctions lists, and you are not in a country where use of our Platform would be illegal or require us to obtain a license).
  • One Account Per User: Each User may create only one account. Creating multiple accounts for the same person (“sockpuppet” accounts) is not allowed and can lead to suspension of all related accounts. (Exceptions might apply for distinct game server regions or experimental test accounts if explicitly allowed by Sekai, but unless we say so, stick to one account.)
  • Accurate Information: You agree to provide truthful, current, and complete information during the registration process. For example, you should use a valid email address that belongs to you. You also agree to keep your information up-to-date (if your email changes, update it in the account settings) so we can communicate with you as needed. Impersonating someone else or providing false information is a violation of these Terms.

Sekai reserves the right to refuse registration or cancel any account that we reasonably suspect is in violation of the above requirements or these Terms. If we refuse registration, we will, if feasible, inform you of the reason (unless we are legally prevented from doing so).

Account Security

When you register, you will choose (or be provided) a password or other secure login credentials. It is your responsibility to keep your login credentials confidential and secure. You must not share your account or password with anyone else, and you must take reasonable measures to prevent unauthorized access to your account. For example, we recommend using a strong unique password and enabling two-factor authentication (2FA) if available.

You are responsible for all activities that occur under your account, whether or not you personally authorized them. If you suspect that someone else has gained access to your account or discovered your password, you must notify us immediately at support@narutoninjacards.com. We also urge you to promptly change your password in such a case. Sekai will not be liable for any loss or damage arising from unauthorized use of your account if you failed to safeguard your credentials.

Sekai may occasionally log you out or require password resets as a security precaution (for example, after a period of inactivity or if we detect unusual activity). These measures are for your protection to ensure the integrity of your account.

4. User Responsibilities and Conduct

We want Naruto Ninja Cards to be a fun and safe community for all users. By using the Platform, you agree to the following obligations and code of conduct:

  • Compliance with Laws: You will comply with all applicable laws and regulations in connection with your use of the Platform. This includes local, national, and international laws that might apply to online conduct or digital content. You must not use Naruto Ninja Cards for any unlawful purpose or in furtherance of illegal activities.
  • Personal Use Only: Your account is for your personal use. You agree not to create an account on behalf of someone else (except as allowed for a parent/guardian managing a minor’s use) and not to sell, rent, or lease your account to others. You also agree not to use the Platform for commercial purposes not expressly permitted by Sekai. For example, you shouldn’t operate a business of selling Naruto Ninja Cards accounts or content, nor use the platform primarily to advertise or promote unrelated products or services.
  • No Fraud or Misrepresentation: You will not engage in fraudulent, deceptive, or misleading activities on the Platform. This includes not impersonating any person or entity, not falsely claiming an affiliation (e.g., pretending to be a Sekai employee or a famous Naruto character’s “official account”), and not attempting to trick or scam other users (such as by phishing attempts or posting bogus offers).
  • Proper Use of the Platform: You will use the Platform only for its intended purpose. Do not misuse the Platform or any content you access through it. Specifically, you agree not to:
    • Disrupt, interfere with, or degrade the operation of the Platform. For example, you must not deploy any viruses, worms, malware, or any other harmful code on the website or app. Also, do not launch any denial-of-service (DoS) attacks or attempt to flood or overload our servers.
    • Attempt to hack or gain unauthorized access to any part of the Platform or its related systems or networks. This includes refraining from any penetration testing, security scanning, or reverse engineering of our software, except to the extent permitted by law (and if you do discover a vulnerability, please report it to us responsibly).
    • Bypass or ignore instructions contained in our robots.txt file (for the website) or similar mechanisms that control automated access. Scraping or crawling the Platform without our prior permission is not allowed.
    • Use any automated means (including bots, scrapers, or scripts) to collect information from the Platform or to perform any actions unless we explicitly allow such actions. Normal use of an official Sekai-provided API or integration is fine (if we offer one), but mass-harvesting content or exploiting endpoints in unintended ways is not.
    • Post or transmit any content on the Platform that is illegal, harmful, or violates rights (see below for content restrictions).
    • Engage in any activity that constitutes excessive or abusive usage of the Platform’s resources (for example, creating an unreasonable number of requests to our servers, or using the Platform in a way that imposes a disproportionately large load on our infrastructure).
  • Community Conduct: If the Platform allows communication between users (such as a forum, chat, or marketplace negotiations), you agree to interact respectfully. You must not harass, bully, or threaten other users. Avoid obscene, hateful, or offensive language. Basically, treat others as you would like to be treated and follow any community guidelines we may publish. We reserve the right to moderate, delete, or restrict content that violates these rules (though we are not obligated to monitor communications—see User Content section).
  • Accurate Content: When providing information or content (such as a profile bio, or listing a trade on the future Marketplace), make sure it’s accurate to the best of your knowledge and not posted in error. Do not deliberately spread false information or deceptive statements via our Platform.
  • Respect for Intellectual Property: You agree not to upload, post, or share any content that infringes upon the intellectual property (copyrights, trademarks, etc.) or proprietary rights of others. This includes not sharing pirated material or using Naruto Ninja Cards to distribute unauthorized copies of games, music, videos, or images. (Naruto Ninja Cards itself contains licensed content from the Naruto franchise; see Intellectual Property below for details on those rights and your usage of them.)
  • No Illicit Content: You must not use the Platform to publish, display, or transmit any content that is illicit or unlawful. This includes content that is defamatory, obscene (e.g., pornography or extreme violence), incites hatred or discrimination, or violates privacy or data protection laws (e.g., posting someone’s personal information without consent). Additionally, content that encourages criminal behavior or instructions on illegal activities is strictly prohibited.
  • No Exploitation or Cheating: You will not exploit bugs, glitches, or loopholes in the Platform for unfair gain. If you discover a bug that can enhance your gains or harm the experience for others, you agree to report it rather than abuse it. Similarly, you won’t use unauthorized third-party tools or software (like bots or mods) to manipulate gameplay or automate actions that give you an unfair advantage.
  • Multiple Accounts and Circumvention: As noted, you should only have one account. You also agree not to attempt to circumvent any suspension or ban by creating a new account or using someone else’s account. If you are blocked from the Platform, you must not try to regain access without our permission.

Indemnification: If you violate any of the above commitments or any other provision of these Terms, and as a result Sekai (or our partners, affiliates, or other users) suffer any harm, loss, or expense, you agree to indemnify and hold Sekai harmless. This means you will defend and reimburse us (including our officers, directors, employees, and agents) for any claims, losses, liabilities, damages, judgments, fines, costs, and expenses (including reasonable attorney’s fees) that arise out of or relate to your breach of these Terms or misuse of the Platform. We will promptly notify you of any such claim and cooperate with you, at your expense, in defending it. We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you (in which case, you agree to cooperate and assist us in asserting any defenses).

5. Virtual Items and Purchases

Naruto Ninja Cards is free to play, but it offers optional in-app purchases that can enhance your experience. It’s important to understand what you are (and are not) getting when you make a purchase in the Platform:

  • Virtual Items: The Platform may allow you to purchase or earn virtual goods, such as Scrolls, Cards, or in-game currencies (collectively, “Virtual Items”). When you obtain Virtual Items, whether by purchase or through gameplay, what you actually receive is a limited, non-transferable, revocable license to use those items within the Platform, subject to these Terms. You do not own the Virtual Items; they have no cash value and are not your personal property. Sekai retains all ownership rights to the Virtual Items and related intellectual property, but grants you this limited license for personal, entertainment use within Naruto Ninja Cards.
  • In-App Purchase Process: Purchases of Virtual Items on mobile are handled via the Apple App Store or Google Play (or any other platform storefront applicable). This means:
    • You will be charged by Apple or Google (or the respective store) under their own terms and payment methods you have set up (e.g., your Apple ID or Google account is charged). Sekai itself does not collect your payment information.
    • All in-app purchases are final and non-refundable, except at the discretion of the platform provider or as required by law. Once you buy a Scroll or other Virtual Item and it is delivered to your account, you cannot undo the purchase or get your money back, so please be sure before you confirm a transaction. We generally cannot provide refunds for purchases made through Apple/Google as we do not have access to your payment details; you would need to request any refund through those stores’ established processes, and they have limited circumstances where refunds are granted.
    • In certain jurisdictions (like the EU/EEA and UK), consumers typically have a legal right to withdraw from distance purchases within 14 days (a “cooling-off period”). However, if you purchase digital content (like a virtual Scroll) that is delivered immediately for use, the law allows the seller to obtain your consent to waive that right of withdrawal. By purchasing any Virtual Item, you acknowledge that it will be available for your use immediately and you explicitly waive any right to cancel the purchase and get a refund once the content is delivered. In plain terms: all sales of digital content are final.
  • Using Virtual Items: Once acquired, Virtual Items will appear in your account (e.g., a Scroll will appear ready to be opened, or a currency added to your balance). Virtual Items may have conditions on their use; for example, a Scroll might expire or a special event item might have limited functionality. We will endeavor to communicate any such limitations in the item description. Using Virtual Items (like opening a Scroll) might result in changes to your account (gaining new Cards, consuming the Scroll). Any such changes are also subject to these Terms.
  • Prohibited Transactions: Outside of the official Marketplace (once it is launched), you are not allowed to sell, trade, gift, or transfer Virtual Items to other users or any third party. Accounts and Virtual Items may not be sold or exchanged on external forums or marketplaces. Such actions are violations of these Terms and could result in account termination. The only permissible trading of Cards will be via the official in-app Marketplace feature, under rules that will be specified (to ensure fairness and security). Until then, any attempt to trade or transact Cards or accounts outside the Platform is strictly prohibited and void.
  • No Cash Value & No Redemption: Virtual Items are not redeemable or refundable for real-world money or any other real goods from Sekai or anyone else. For example, if you decide to stop playing, we will not reimburse you for unused Virtual Items in your account. Similarly, we do not convert Virtual Items back into cash, and there is no property or monetary right in Virtual Items. They exist only within the service.
  • Balance Adjustments: Sekai reserves the right to manage, regulate, modify, or remove Virtual Items (including your inventories of them) as it sees fit for the overall balance and health of the game’s economy. For instance, if a particular Card is too common due to an error, we might adjust drop rates or even (in rare cases) replace some items. We might also issue patches or updates that change the values or functions of Virtual Items (for example, balancing changes to maintain a fair gameplay). Such adjustments are normal for online services and by agreeing to these Terms you accept that your collection is subject to such changes. Of course, we will not without reason erase significant parts of your collection—any changes would be in good faith to improve the experience or comply with licensing requirements.
  • Errors and Corrections: If there is a mistake in a transaction (for example, you were charged but the item wasn’t delivered, or an item was delivered but should not have been), please inform us at support@narutoninjacards.com. We will investigate and, if appropriate, provide the item or correct the error. In the case of incorrect crediting (say, you accidentally received duplicate items due to a bug), we reserve the right to remove the extra items or otherwise fix the issue. We will not take away items that you rightfully purchased without cause, but we do need the ability to address glitches or exploits.

6. Future Marketplace and User Trades

Sekai is developing a Marketplace feature where users will be able to trade Cards or other virtual assets with each other directly through the Platform. We want to provide a heads-up on how this will work and set expectations, although the feature is not live yet:

  • Peer-to-Peer Transactions: The Marketplace will enable peer-to-peer transactions of virtual items (for example, trading a Card you have for one held by another user, possibly with an in-app currency or credit as a medium). These trades are strictly user-to-user. Sekai will not be a direct party to these transactions; we merely provide the platform for users to make exchanges.
  • Marketplace Rules: When the Marketplace launches, additional terms or guidelines will be provided. Users will likely need to agree to those rules before participating. They will cover things like how to list an item, how offers and acceptance work, any fees or commissions on trades (if applicable), dispute resolution mechanisms, etc. All such trades must comply with the Terms of Service and any specific Marketplace rules. For now, understand that any attempt to simulate a marketplace trade outside the official system (like “I’ll PayPal you and you give me your account”) is not allowed.
  • No Real Money Transactions Between Users: The Marketplace, when introduced, might use an in-app currency or direct item-for-item swaps. But it will not facilitate real cash payments between users. You should never send money or financial information to another user directly for a trade—doing so would be outside these Terms and very risky. Sekai is not responsible for any losses if you attempt an off-platform deal (again, strongly discouraged and violation of rules).
  • Sekai’s Role and Disclaimer: Since user trades are peer-to-peer, Sekai’s role is mainly to host the environment. We do not guarantee that a trade offer by a user is fair or that the other user will follow through (though the system will be designed to ensure simultaneous exchange or escrow to minimize risk). We do reserve the right to intervene in the Marketplace if needed: for example, to halt a transaction if fraud is suspected, to reverse a trade if it was made exploiting a bug, or to suspend users who engage in misconduct in the Marketplace. We also may step in to mediate if users have a dispute about a trade, but we do not promise to resolve every dispute in a particular way.
  • Taxes: In the event users are allowed to trade items that have real monetary value or involve any form of currency, you might be responsible for reporting and paying any taxes that result from your activities (depending on your jurisdiction). Currently, since Virtual Items have no real-world value, this is not a concern. But we mention this for completeness, in case the Marketplace evolves.

7. Content and Intellectual Property

The Naruto Ninja Cards Platform contains a variety of content — some provided by Sekai (including content licensed from the rights holders of Naruto), and possibly some content provided by Users (for example, user profile names, chat messages, or future forum posts). It’s important to understand who owns what and what you can and cannot do with the content you access:

Sekai Content and Licenses

  • Sekai and Licensors’ Intellectual Property: Except for User-generated content, all materials on the Platform are the property of Sekai or our licensors. This includes the software code, the design, logos, graphics, images, text, data compilations, audio, video, and the specific arrangement of these elements. In particular, Naruto characters, artwork, names, and story elements are intellectual property licensed from their respective owners (such as © and ™ of their owners, possibly Shueisha, TV Tokyo, Pierrot, or others involved in Naruto’s IP). Sekai has obtained permission to use this content in Naruto Ninja Cards, but we do not transfer any ownership of it to Users. All rights not expressly granted to you in these Terms are reserved by Sekai and its licensors.
  • Your Right to Use the Platform: Sekai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and its content for your personal, non-commercial entertainment use only, in accordance with these Terms. This license allows you to, for example, view the card graphics on your screen, download the app to your device, and interact with the features of the Platform. It does not grant you any ownership of the content, and you may not use the content outside of the Platform except as expressly allowed.
  • Prohibited IP Uses: Without Sekai’s prior written consent, you agree that you will not:
    • Copy, reproduce, modify, or create derivative works from the Platform or any content within it. For example, you cannot take the artwork of a card and make your own merchandise from it, nor extract our game code to create a new game.
    • Distribute, publicly perform, or publicly display any content from the Platform outside of the Platform context. This means you shouldn’t post high-resolution card images on your own website or use our graphics in a YouTube video intro, unless such use is covered by a specific exception like fair use or fan content guidelines we may publish. (Sharing screenshots or low-res snippets for discussion is generally fine as fair use, but wholesale reposting of assets is not.)
    • Remove or alter any copyright notices, trademarks, or other proprietary markings on any content. If a card image has a small watermark or notice, you can’t edit that out.
    • Use any of our intellectual property (names, logos, content) in a way that suggests an association with or endorsement by Sekai or the Naruto rights holders, unless you have our written permission. This includes not naming your fan project or website in a confusing way that implies official status.
    • Reverse engineer, decompile, or disassemble any software or technology used to provide the Platform, except to the extent that such acts are expressly permitted by law (and then, only after giving us notice and opportunity to respond, if required by that law).
  • Fan Content: We understand many users might want to create fan content (like fan art, fan websites, or videos) related to Naruto Ninja Cards. Nothing in these Terms is meant to stifle non-commercial fan creativity. Generally, as long as your fan content is clearly unofficial, non-commercial (you’re not selling it or charging access), and doesn’t compete with us, it’s likely fine. However, be aware that Naruto IP is owned by third parties, and they may have their own guidelines. When in doubt, reach out to us or refer to official Naruto fan use policies.
  • Feedback: If you choose to provide Sekai with suggestions, ideas, or other feedback about the Platform (“Feedback”), you agree that Sekai can freely use and incorporate this Feedback into our products and services without any obligation to you. For example, if you suggest a new feature and we implement it, we don’t owe you anything; that feature (and all intellectual property in it) will be owned by Sekai. You acknowledge that any Feedback is given voluntarily and does not create any confidentiality or compensation expectation.

User-Generated Content

At present, Naruto Ninja Cards is primarily a collection and gameplay platform, and it may have limited avenues for user content (perhaps profile avatars, usernames, chat messages, forum posts, etc.). Any content that you create and post or upload on the Platform is considered "User Content". This section covers how user content is handled:

  • Your Ownership of Your Content: You retain any intellectual property rights you already hold under law in the content you create and provide on Naruto Ninja Cards. For example, if you write a strategy guide in a forum post, you still own the copyright in your writing. If you create an original piece of fan art and share it on our community page (if such a feature exists), it remains yours. However, by posting your content on the Platform, you give Sekai certain permissions, as described next.
  • License to Sekai: When you submit or post User Content on the Platform, you grant Sekai a worldwide, royalty-free, sublicensable, transferable, non-exclusive license to host, use, distribute, modify (for technical purposes, e.g., resizing an image), reproduce, publicly display or perform, and create derivative works of your User Content solely for the purpose of operating, developing, promoting, and improving the Platform, and to display your content on the Platform or any other channels you’ve allowed. For instance, if you post a cool screenshot of your card collection, our license allows us to display that screenshot to other users in the forum and even use it in marketing to show off community collections, unless you remove it. If you delete your User Content or your account, we will cease any further use of it (aside from archival backups) and the license will terminate, except for content we’ve already shared or used publicly (we can’t un-distribute something that’s already out there, but we’d stop new distribution).
  • Content Standards: You are responsible for the User Content you provide. You must ensure that your content does not violate any laws or these Terms (see User Responsibilities above for types of prohibited content). In particular, do not post content that is infringing, illegal, or offensive. Sekai is not obligated to pre-screen User Content, but we reserve the right to remove or moderate any content that violates our guidelines or appears objectionable. We also do not guarantee the accuracy or quality of content posted by users — you might encounter other users’ content that you find inappropriate or incorrect, and you view it at your own risk.
  • Reporting Inappropriate Content: If you come across any content on the Platform that you believe violates these Terms (for example, someone posting hate speech or uploading pirated material), please report it to us at support@narutoninjacards.com or through any “report” functionality in the app. We will review reports promptly and take appropriate action (which could include content removal, warning the user, or stronger enforcement). We may keep a copy of the reported content and associated communications as required by law (for instance, French law may require that we retain data on illegal content reports for a time).
  • Content Removal: Sekai has the right (but not the obligation) to remove or disable access to any User Content for any or no reason, including if such content, in our sole judgment, violates these Terms or is otherwise objectionable. We may also remove or disable content upon receiving a takedown notice (for example, a DMCA copyright infringement claim). We are not responsible for any failure or delay in removing such material. If your content is removed and you believe it was a mistake, you can contact us to dispute the decision.

8. Suspension and Termination of Accounts

We hope to never have to part ways with our users, but it’s important to outline how either you or Sekai may terminate this agreement and what happens in such cases.

  • Voluntary Termination by You: You have the right to stop using Naruto Ninja Cards at any time. You may also request to delete your account by contacting us at support@narutoninjacards.com (or via any account deletion function we provide in-app or on the website). Account deletion is a serious step – it will erase your profile and permanently lose your Cards, progress, and any purchased Virtual Items associated with the account. We may ask you to verify this decision. Once confirmed, we will process your deletion request, after which you should no longer attempt to access the account. If you simply stop logging in and don’t request deletion, your account remains available (and data retained as per our Privacy Policy) until we may remove it due to prolonged inactivity or for other reasons.
  • Termination or Suspension by Sekai: We reserve the right to suspend (temporarily disable access to) or terminate (permanently revoke access to) your account if we, in our reasonable judgment, determine that:
    • You have materially breached these Terms (for example, cheating, hacking, harassment, or other serious violations of the rules).
    • You have repeatedly violated minor aspects of these Terms despite receiving warnings.
    • We are required to do so to comply with a legal requirement or court order (e.g., we learn that your use of the platform is illegal in your region or you have been legally barred from internet usage, etc.).
    • There is an unexpected technical or security issue, or we suspect unauthorized or fraudulent activity on your account.
    • You haven’t met the eligibility criteria (e.g., you lied about your age or you’re on a sanctions list).
    • The continued provision of service to you would be commercially impractical or impossible due to legal change (for example, new regulations might forbid us from offering the app in your country).
    In most cases, unless legally prohibited, we will attempt to notify you via the email associated with your account before or at the time of suspension/termination, explaining the reason and whether the action is temporary or permanent. However, in extreme cases (such as severe abuse, suspected fraud, or where giving notice could cause harm), we may deactivate your access first and notify you after. The notification may include the length of a suspension or any steps you can take to appeal or resolve the issue (if applicable). Keep your account email updated, because that’s where such notices will go.
  • Effect of Termination: When your account is terminated (by you or by us), the following will occur:
    • Loss of Access: You will lose access to the Platform, including any of your data or content associated with the account. You will not be able to log in, and your profile may be deleted. Any Virtual Items, Cards, or progression tied to the account will be irretrievably lost (they are not real property, as noted before, so you are not entitled to any refund or compensation for them).
    • Content and Data Deletion: We will delete or anonymize personal data associated with your account as outlined in our Privacy Policy, subject to legal requirements for retention. However, some of your User Content (for example, forum posts or chat messages) might remain visible to others if it doesn’t inherently identify you, or it may be attributed to an “anonymous user” after deletion.
    • No Liability for Termination: Except as stated otherwise by law, Sekai will not be liable to you for compensation, reimbursement, or damages in connection with any lost access, lost Virtual Items, or any other results of termination. Termination of an account for violations is considered a result of your own actions.
    • Outstanding Transactions: If you have any pending transactions or orders at the time of termination (e.g., you purchased something but it hasn’t been delivered), we may cancel those transactions and, at our discretion, refund any real money paid for undelivered items (minus value received, if any). However, if you were terminated for serious cause, typically no refund will be given for any remaining Virtual Item balances or unused subscriptions.
    • Possible Ban of Device or IP: In cases of severe abuse, Sekai reserves the right to ban the associated device identifiers or IP addresses from accessing the Platform, in addition to the account ban, to prevent you from creating new accounts to continue the violation.
  • Appeals: If you believe your account was suspended or terminated in error, you may appeal by contacting our support. We will review appeals on a case-by-case basis and issue a final decision or request more info if needed. Note that frivolous or repeated appeals that don’t introduce new evidence might not receive a response after the first denial.
  • Survival: Any provisions of these Terms which by their nature should survive termination (such as ownership provisions, warranty disclaimers, indemnity and limitations of liability, governing law, dispute resolution) shall continue to be in effect even after your access to the Platform is terminated.

9. Modifications to the Service or Terms

Changes to the Service:

Sekai is constantly working to improve Naruto Ninja Cards. We may from time to time deploy updates, make changes to features, or even discontinue parts of the Platform:

  • Updates and Changes: We may add or remove functionalities or features, or we may suspend or stop the Platform altogether (though we have no immediate plans to shut down, this is a standard clause). We may also release updates or patches that require installation to continue use of the app. You agree that Sekai has no obligation to maintain any particular aspect of the Platform in an unmodified form. For example, if we decide to remove a certain game mode or alter the appearance of certain Cards, we can do so. We will attempt to give notice of major changes that significantly affect the user experience (through in-app notifications, announcements, or email), especially if those changes impact your rights or obligations.
  • Downtime and Availability: There may be times when the Platform is unavailable due to maintenance, updates, technical issues, or factors beyond our control. While we strive to keep things running smoothly, continuous, uninterrupted access is not guaranteed. We do not guarantee that the Platform will always be available or error-free at any given time. We may also impose limits on certain features or restrict access to parts or all of the Platform without notice or liability, especially if needed for security or legal reasons.

Changes to the Terms:

We may revise these Terms of Service as our business and the regulatory environment evolves:

  • Right to Modify Terms: Sekai reserves the right to modify or update these Terms at any time. If we make material changes (changes that significantly affect your rights or obligations), we will provide prominent notice of such changes, for example by posting an alert within the app or sending an email to the address associated with your account. Non-material changes (such as clarifications or corrections that don’t substantially alter the meaning of the Terms) might be posted without special notice, so you should review these Terms periodically.
  • Acceptance of Changes: Once updated Terms are in effect, by continuing to use the Platform you are indicating acceptance of the new Terms. If you do not agree to the revised Terms, you must stop using the Platform and may request to delete your account if you wish. We will include the “Last Updated” date at the top of the Terms to help you keep track of changes.
  • Your Feedback on Changes: If any change to the Terms is not acceptable to you, please communicate with us — sometimes we can address concerns, but unfortunately we cannot make exceptions to the Terms for individual users. Your only recourse if you still disagree with a change is to stop using the Platform.
  • Emergency Changes: Occasionally, we might need to make immediate changes for legal reasons (for example, if a new law takes effect that requires certain terms). In such cases we might not be able to give advance notice, but we will still inform users as soon as possible.

10. Disclaimers of Warranties

Sekai provides the Naruto Ninja Cards Platform on an “AS IS” and “AS AVAILABLE” basis. While we aim for a great user experience, there are some things we need to disclaim to manage expectations:

  • No Guarantee of Accuracy or Content: The information, content, and materials on the Platform (including Card descriptions, probabilities of draws, or user communications) may contain mistakes or be incomplete. Sekai does not warrant that any content provided is accurate, complete, or useful. Use of any information on the Platform is at your own risk. (For example, we don’t guarantee that a description of a Card’s rarity or abilities is error-free, though we try our best.)
  • Service Quality and Availability: Sekai does not guarantee that the Platform will meet your requirements or be available on an uninterrupted, secure, or error-free basis. We make no warranty that gameplay will be free from lag or bugs, or that any particular hardware or software configuration will be compatible with our app.
  • Implied Warranties: To the fullest extent permitted by applicable law, Sekai disclaims all warranties and conditions of any kind, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, title, quiet enjoyment, accuracy, or non-infringement. For example, we are not promising that the app is fit for your specific purpose (say, that it will run on an older device or that you will feel a certain nostalgia). Also, while we obviously don’t intend to infringe anything, we disclaim any guarantee that our product doesn’t infringe a third party’s rights (in the event an issue arises, we’ll handle it appropriately).
  • Third-Party Content: Sekai is not responsible for any content on the Platform that comes from users or third parties. This includes posts made by users or links to third-party sites. We do not endorse, warrant, or guarantee any user content or any product or service advertised or offered by a third party on the Platform. If you follow a link to a third-party website (for example, a fan site link someone shared), you do so at your own risk – separate terms and privacy policies may apply on that site.
  • No Warranty on Results: We make no guarantee that using the Platform will improve your knowledge, give you particular enjoyment, yield any particular collection of Cards, or achieve any specific results. For example, we don’t guarantee that you’ll obtain a specific rare card – the outcomes of draws or events are subject to chance or rules explained in-app, and by using the app you accept those outcomes as fair.
  • Beta Features: If we release features labeled as “beta” or “trial,” those are in testing phase and provided “as is” without any promises of performance. They might be changed or removed unexpectedly. Use beta features only if you’re willing to accept potential bugs or issues.

Some jurisdictions do not allow the exclusion of certain warranties or conditions, so some of the above disclaimers may not apply to you. In such cases, the disclaimers shall apply to the fullest extent permitted by the applicable law.

11. Limitation of Liability

To the extent permitted by law, Sekai’s liability to you is limited. We want to be clear on the extent (and limits) of our responsibility if something goes wrong:

  • Indirect Damages: Sekai (and our officers, directors, employees, agents, partners, and licensors) will not be liable to you for any indirect, incidental, special, consequential, or punitive damages, nor any loss of profits, revenue, goodwill, or data, even if we have been advised of the possibility of such damages. This exclusion includes, for example, damages for lost opportunities (like not getting a specific card), lost virtual goods or content, or the cost of substitute services. It also covers things like interruption of your business or any personal injury or emotional distress arising out of or related to your use of the Platform. We consider these types of losses to be indirect or consequential.
  • Direct Damages Cap: To the extent we are found liable for any claims under these Terms (whether in contract, tort, or any other legal theory), our total liability to you for all damages shall not exceed the amount you have paid us in the past six (6) months, or €50 EUR, whichever is greater. This means if, for example, due to our fault you lose access to Virtual Items worth €10 that you purchased, our liability would be up to that €10, not hundreds of euros. If you have paid us nothing (which is possible if you never made a purchase), the maximum would be €50 (or equivalent local currency).
  • Exceptions: The above limitations and exclusions will not apply to the extent prohibited by applicable law. Some jurisdictions do not allow the limitation of liability for personal injury or for intentional misconduct or gross negligence. Also, any specific statutory remedies that cannot be waived (like certain consumer protections) would still apply. We are not attempting to exclude liability for Sekai’s own willful misconduct or fraud. Additionally, these limitations do not override any rights you may have under mandatory consumer protection laws; for instance, in the EU, you may have certain rights regarding defective digital content, and these Terms are not intended to limit Sekai’s obligation to honor those statutory rights.
  • Application to Sekai’s Affiliates and Partners: The limitations of liability in these Terms apply not just to Sekai, but also to any affiliated companies, suppliers, or distributors involved in providing the Platform, to the extent they would be liable in connection with the services. They are intended to be beneficiaries of these limitations and exclusions.
  • Your Liability: Just as Sekai’s liability is limited, you may also have liability to Sekai if you breach these Terms or cause harm. (See Indemnification under User Conduct above.) If you cause damage to the Platform or our community, you may be responsible for costs and damages arising from that.

12. App Stores and Third-Party Platforms

This Terms of Service is between you and Sekai, not with any third-party platform provider (such as Apple or Google). However, because you download the mobile app through their stores, certain additional terms from those providers apply:

  • App Store Provider as Third-Party Beneficiary: You acknowledge that Apple, Google, and/or any other app store provider, as applicable, and their subsidiaries, are third-party beneficiaries of these Terms. This means that upon your acceptance of these Terms, the app store provider has the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary. For example, Apple can enforce the terms against an iPhone user if needed.
  • Apple-Specific Terms: If you downloaded the Naruto Ninja Cards app from the Apple App Store, the following additional terms apply:
    • You agree that Apple has no responsibility for the app or its content. In case of any issues or maintenance needs, it is Sekai’s responsibility, not Apple’s, to address them (to the extent required by law). This includes things like support, or addressing claims by you or any third party relating to the app (e.g., product liability claims, legal compliance, or consumer protection claims).
    • In the event of any third-party claim that the Naruto Ninja Cards app or your possession and use of it infringes a third party’s intellectual property rights, Sekai (not Apple) will be solely responsible for the investigation, defense, settlement and discharge of any such intellectual property infringement claim.
    • You must use the app in compliance with the App Store Terms of Service. For example, you are not allowed to use the app on a device that is jailbroken in violation of Apple’s usage rules, and you may only use the app on Apple devices that you own or control.
    • Apple has no obligation to furnish any maintenance or support services for the app.
    • If the app fails to conform to any applicable warranty (implied by law, since we’ve disclaimed all to the extent possible), you may notify Apple, and Apple will refund the purchase price (if any) for the app to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the app. (In practice, the app is free to download, so refund is not an issue – and any in-app purchases are governed by Apple’s policies as described in Virtual Items and Purchases above.)
    • Apple is not responsible for addressing any claims by you or any third party relating to the app or your possession/use of the app, including but not limited to: (i) product liability claims; (ii) any claim that the app fails to conform to any legal or regulatory requirement; (iii) claims arising under consumer protection or similar legislation. Those are Sekai’s responsibility, as applicable.
    • You represent that you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a “terrorist supporting” country, and you are not listed on any U.S. Government list of prohibited or restricted parties. (Apple requires this certification from users of apps on its platform.)
    • If you have any questions, complaints, or claims regarding the app, these should be directed to Sekai (not to Apple). You can reach us at support@narutoninjacards.com.
  • Google-Specific Terms: If you downloaded the app from Google Play, similar provisions apply: Google is not responsible for warranty or support for the app, and you must use it in accordance with Google Play’s terms. You also acknowledge that Google can enforce these Terms as a third-party beneficiary.
  • Other Third-Party Services: The Platform may integrate or allow access to other third-party services (for example, logging in via Google, or sharing content to social media). Remember that those services have their own terms and privacy policies, which do not form part of our agreement with you, and Sekai isn’t responsible for those external services. For instance, if you use a “Share to Twitter” button, Twitter’s terms govern your use of that service. If an integration (say, Google login) isn’t working, we will try to resolve it but ultimately the third-party service controls its own availability.

13. Privacy

Your privacy is important to us. Our collection and use of personal information in connection with the Platform is described in our Privacy Policy (available on our website). By using Naruto Ninja Cards, you consent to the collection and use of your information as outlined in the Privacy Policy. We encourage you to read it carefully. Key points include:

  • What information we collect (e.g., account info, usage data, analytics data from tools like Smartlook/Amplitude).
  • How we use that info (to provide the service, improve the game, communicate with you, etc.).
  • How we share info (with service providers, compliance with law, etc.).
  • Your rights regarding your data (access, deletion, etc.).
  • Our use of cookies and tracking, especially differences between web and app.
  • International data transfers and security measures.

If you do not agree with our data practices as described in the Privacy Policy, do not use the Platform. For inquiries about privacy, you can contact support@narutoninjacards.com.

14. Governing Law and Dispute Resolution

We hope to resolve any disputes amicably. However, if any legal dispute arises, the following provisions apply:

  • Governing Law: These Terms and any action related to them or the Platform will be governed by the laws of France, without regard to its conflict of laws principles. This means that the interpretation and enforcement of these Terms are subject to French law (especially relevant because Sekai is a French company). If you are a consumer residing outside of France, you may also have certain protections under the laws of your country of residence which cannot be waived by contract; these Terms do not seek to deprive you of those protections. For example, if you reside in Quebec, Canada, certain provincial laws may apply for consumer contracts; if you reside in Germany, certain consumer rights under German law may apply, etc. We primarily choose French law, but mandatory rights under local consumer law remain available to you.
  • Jurisdiction: You agree that any dispute or claim arising out of or in connection with these Terms or the Naruto Ninja Cards Platform shall be subject to the exclusive jurisdiction of the courts of Paris, France, except as set forth in the Mediation paragraph below or where prohibited by applicable law. This means that, generally, lawsuits must be brought in Paris, and French procedural law will apply. However, if you are a consumer resident in the European Union, you may also have the option to bring claims in your home country’s courts under certain consumer protection statutes. Similarly, in some cases, local law might allow you to resolve a dispute in your local courts despite what we’ve agreed here – these Terms do not override such rights if they are unwaivable.
  • Mediation (EU Consumers): In accordance with EU regulations, if you are an EU resident and have a dispute with us, you have the option to seek resolution through the EU Online Dispute Resolution (ODR) platform or other mediation services. You can access the ODR platform at https://ec.europa.eu/consumers/odr. Through this platform, you can find a neutral third-party mediator to help resolve disputes. Sekai is not obligated to participate in a formal mediation process in every case, but we will consider it. Additionally, in France, consumers can reach out to a médiateur de la consommation (consumer mediator). We can provide contact details for an appropriate mediator upon request. Note that mediation or ODR does not eliminate your right to pursue a claim in court; it’s an alternative that might be faster or less formal.
  • Injunctive Relief: Notwithstanding the above, nothing in these Terms will prevent either you or Sekai from seeking injunctive relief or other urgent legal remedy in an appropriate court to prevent actual or threatened infractions of our respective rights (for example, a breach of intellectual property rights or misuse of data) pending final resolution of the dispute.
  • Time Limit on Claims: To the extent permitted by law, any claim or cause of action arising out of or related to use of the Platform or under these Terms must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred. (For consumers in some jurisdictions, this limitation might not apply or might be longer; we don’t enforce this where prohibited.)

15. Miscellaneous

Finally, a few general provisions:

  • Entire Agreement: These Terms (together with the Privacy Policy and any additional guidelines or rules that we post and reference as part of the Platform, such as Marketplace rules when introduced) constitute the entire agreement between you and Sekai regarding the Platform. They supersede any prior agreements, communications, or proposals between you and us (whether oral or written) concerning the Platform. Any earlier representations or statements are merged into these Terms.
  • No Waiver: If we fail to enforce any provision of these Terms, it will not be considered a waiver of our rights. Similarly, no waiver of any term will be effective unless we expressly state so in writing. If we do waive a default or breach on one occasion, that waiver does not mean it will apply to any future defaults or breaches – each situation is handled individually.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, then that provision will be deemed severed from these Terms and the remaining provisions will remain in full force and effect. We will, in good faith, replace any invalid or unenforceable term with a new provision that reflects the original intent and has a similar economic effect, to the extent possible under law.
  • Assignment: You may not assign or transfer any of your rights or obligations under these Terms to anyone else without our prior written consent. Any attempt by you to assign, transfer, or delegate without consent will be null and void. Sekai, however, may assign or transfer these Terms or any of our rights or obligations at our discretion. For example, if we undergo a corporate reorganization or if the Platform is sold to another company, your agreement with us (and all your data and content) may be transferred to our successor or assign. In the event of such a transfer, these Terms will continue to govern the relationship between you and the new entity, unless and until they are updated.
  • Relationship of Parties: These Terms do not create any agency, partnership, joint venture, or employment relationship between you and Sekai. We are independent contracting parties. You also acknowledge that except as explicitly provided in these Terms, there are no third-party beneficiaries. (The App Store providers are third-party beneficiaries to the extent stated in the App Stores section; aside from that, the agreement is only between you and Sekai.)
  • Force Majeure: Sekai will not be liable for any delay or failure to perform its obligations under these Terms if such delay or failure results from events or circumstances beyond our reasonable control. This includes, for example, acts of God, war, terrorism, civil disturbances, strikes or labor disputes, internet or utility outages, earthquakes, floods, fires, pandemics, government actions, or any other events of “force majeure.” During such events, our duties will be suspended to the extent impacted, and we will make reasonable efforts to resume service as soon as possible.
  • Notices: We may provide you with notices, including those regarding changes to these Terms or other matters, by email (to the address associated with your account), ordinary mail, or postings within the Platform (such as a pop-up or notification). Electronic notices to you (e.g., email or in-app alert) satisfy any legal communication requirements. If you need to give notice to us, you can do so by email to support@narutoninjacards.com or by mail to our company address listed above, Attn: Legal Department.
  • Headings: Section headings in these Terms are for convenience only and have no legal or contractual effect. They do not affect the interpretation of the provisions.
